Model Film Agreement Contract

In consideration of the payment of One Dollar ($1.00) and other good and valuable consideration, receipt of which is hereby acknowledged, the undersigned, ________ (hereinafter referred to as "Owner") hereby irrevocably sells, grants, assigns, and sets over unto ________  (hereinafter referred to as "Purchaser"), and its representatives, heirs, successors and assigns in perpetuity, throughout the universe and exclusively, all motion picture, television, video, allied, ancillary, incidental and subsidiary rights which Owner has or may have in and to the original literary material (collectively, the "Property"),  described below and in and to the Property as the copyright in the Property may be renewed by Owner or Owner's heirs, successors in interest or assigns, including, without limitation, the "Purchased Rights" as such term is defined in the agreement referred to below:

The undersigned and Purchaser have entered into a formal Literary Option/Purchase Agreement dated as of ___________ relating to the transfer and assignment of the foregoing rights in and to the Property, which rights are more fully described in said Literary Option/ Purchase Agreement, and this Assignment is expressly made subject to all of the terms, conditions and provisions contained in said Option/Purchase Agreement.

Purchaser is hereby empowered to bring, prosecute, defend, and appear in suits, actions and proceedings of any nature under or concerning all copyrights and all renewals thereof in and to the Property, or concerning any infringement of any such copyright or renewal copyright, or interference with any of the rights hereby granted to Purchaser under said copyrights or renewals thereof, in his own name or in the name of Owner but at the expense of Purchaser, and at his option, Purchaser may join Owner as a party in such suit, action or proceeding.

Commentary

This does not take effect unless and until the purchase price is paid. This is used for certain chain of title purposes and to file the assignment of rights with the USCO, so the entire agreement does not have to be filed. This document shows the grant of rights to the purchaser, but allows the long form (and the negotiated terms) to remain confidential.
