Model Film Agreement Contract

Purchaser hereby represents and warrants that Purchaser has the full right, power and authority to enter into this agreement. Purchaser hereby indemnifies and holds Owner, his licensees, successors and assigns, harmless from and against any and all claims, losses and damages (including reasonable attorney's fees) incurred by reason of or arising out of a breach or alleged breach of any of Purchaser's warranties hereunder (except to the extent of Owner's indemnification of Purchaser set forth above).

Commentary

This paragraph sets out Purchaser's sole representation and warranty, which is that they have the legal authority and ability to enter into this agreement. If this proves to be false, the Purchaser is required to indemnify the Owner for harm suffered as a result of this breach, as set out in this provision.
