Model Film Agreement Contract

Illegality:  Nothing contained herein shall require the commission of any act or the payment of any compensation which is contrary to an express provision of law or contrary to the policy of express law; and if there shall exist any conflict between any provision contained herein and any such law or policy, the latter shall prevail; and the provision or provisions herein affected shall be curtailed, limited or eliminated to the extent (but only to the extent) necessary to remove such conflict; and as so modified this Agreement shall continue in full force and effect.

Remedies Cumulative: All remedies accorded herein or otherwise available to either Purchaser or Owners shall be cumulative, and no one such remedy shall be exclusive of any other. Without waiving any of its rights or remedies under this Agreement or otherwise, Purchaser may, from, time to time, recover, by action, any damages arising out of any breach of this Agreement by Owner and may institute and maintain subsequent actions for additional damages which may arise from the same or other breaches.

Assignability: This Agreement is non-assignable by Owner.  This Agreement shall inure to the benefit of Purchaser's successors, assignees, licensees and grantees and associated, affiliated and subsidiary companies.  Purchaser may freely assign, license, or otherwise transfer this Agreement, in whole or in part, and any or all of its rights hereunder to any person or entity.

Amendments/Succession:  This Agreement may be amended or modified only by the written agreement of Owner and Purchaser.  The Agreement shall inure to the benefit of and be binding upon the parties hereto, and upon their legal successors, licensees and agents.

Entire Agreement:  This Agreement, together with any exhibits attached hereto and hereby incorporated herein in their entirety, shall replace and supersede all previous arrangements, understanding, representations or agreements (written or oral, express or implied) between Purchaser and Owner with respect to the subject matter hereof and expresses the entire agreement between Purchaser and Owner with reference to the terms and conditions of Purchaser's acquisition of the Property and the Work hereunder.

Governing Law:  This Agreement shall be constructed in accordance with the laws of the State of New York applicable to agreements which are executed and fully performed within the State of New York. The parties agree that any matter arising under this Agreement may be finally adjudged or determined in any courts of the State of New York or of the United States of America having jurisdiction in the State of New York, and Owner and Purchaser hereby submit generally and unconditionally to the jurisdiction of such courts and in any of them in respect of such matter.

All sums of money due the author under this Agreement shall be paid to the Author's agent.
